1. INTRODUCTION AND ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Inspira Holding Inc. (“Inspira,” “we,” “our,” or “us”). These Terms govern your access to and use of our websites, mobile applications, and white-label platforms (collectively, the “Platform”), as well as your bookings for travel services offered by third-party suppliers (“Suppliers”).
By accessing or using our Platform, creating an account, or making a booking, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, you must discontinue use immediately.
NOTICE OF ARBITRATION AGREEMENT: These Terms include a binding arbitration provision and a waiver of class action rights. Please read Section 18 carefully.
2. DEFINITIONS AND SCOPE OF SERVICES
2.1 Definitions
- “Booking” refers to any confirmed reservation made through the Platform.
- “Customer,” “you,” or “your” refers to any individual or entity accessing or using the Platform.
- “Supplier” refers to any third-party provider of travel services, including but not limited to airlines, hotels, vacation rental operators, car rental companies, transfer services, and attractions.
- “Services” refers to the tools and facilitation offered by Inspira for Customers to book travel products provided by Suppliers.
2.2 Scope of Services
- Search, compare, and book Flights
- Reserve Hotels and Vacation Rentals
- Rent Cars
- Book Transfers and Ground Transportation
- Purchase Attractions and Activities
- Access membership-based travel benefits (if applicable)
Inspira acts solely as an intermediary or disclosed agent of Suppliers. Inspira does not own, operate, or control any travel services.
2.3 Supplier Terms
Each Supplier has its own terms and conditions governing its products and services. By booking through the Platform, you agree to comply with the Supplier’s terms in addition to these Terms:
3. ELIGIBILITY, USER ACCOUNTS, AND MEMBERSHIP
3.1 Eligibility
- At least 18 years old (or the legal age of majority in your jurisdiction)
- Legally capable of entering into a binding contract
- Using the Platform for lawful purposes only
3.2 Account Registration
- Some services may require registration and an active account.
- You agree to provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your account credentials.
3.3 Membership Programs
- Access to certain discounted rates or benefits may require a paid membership or qualification through an affiliated partner program.
Inspira reserves the right to suspend or cancel memberships for non-compliance with these Terms without refund. In cases of suspected fraud, Inspira reserves the right to forfeit any accumulated points or rewards.
If applicable, reward points or credits (“Inspiration Points”) will be credited to the member’s account only after the completion of the qualifying activity, such as a hotel stay, flight, or other eligible transaction.
Inspiration Points Earn and Redemption
- Points are earned only on qualifying transactions as defined by Inspira from time to time.
- Inspira reserves the right to determine eligible transactions, exclude specific products or promotions, and adjust points at its sole discretion.
- Points will not be earned on canceled, refunded, or chargeback transactions.
- Any technical errors, system delays, or discrepancies will be reviewed, and Inspira’s decision will be final.
- Inspira may modify redemption options or conversion rates at any time without notice.
- Inspira reserves the right to modify, suspend, or discontinue the loyalty program or any part thereof at any time.
- The validity of points or rewards may vary depending on the specific service or program. You can review applicable validity details directly in your account dashboard.
- Expired points cannot be reinstated, extended, or transferred.
4. BOOKING TERMS BY PRODUCT CATEGORY
4.1 Flights
4.1.1 Airline Contracts
- Airline Conditions of Carriage
- Applicable law, including U.S. Department of Transportation (DOT) rules and the Montreal Convention, which governs international air travel
4.1.2 Flight Rules & Restrictions
- Fares are subject to availability and may include restrictions on changes, cancellations, and refunds.
- Baggage fees, seat selection, and ancillary services are determined by the airline and may incur additional charges.
4.1.3 Liability Disclaimer for Air Travel
- Inspira does not control airline operations and is not responsible for flight delays, cancellations, schedule changes, or acts beyond its control.
- Airline liability for delays, damage, or loss is governed by applicable treaties or regulations, such as the Montreal Convention.
4.2 Hotels and Vacation Rentals
- You must present a valid government-issued ID and a credit card for incidentals at check-in.
- Hotel check-in and check-out times are determined by the property.
- Prices displayed on the Platform generally include taxes unless otherwise specified.
- Local taxes, resort fees, and mandatory charges may apply and are payable directly at the property.
- Special requests (e.g., bed type, smoking preference) are subject to availability and are not guaranteed.
- Inspira does not own or manage hotels or vacation rental properties and is not responsible for overbooking, maintenance issues, or service quality.
4.3 Car Rentals
- Renters must present a valid driver’s license and meet minimum age requirements set by the Supplier.
- Additional fees may apply for young or additional drivers.
- Insurance, fuel, tolls, and other optional services may incur extra charges payable at pickup.
- Inspira is not responsible for vehicle availability, condition, or service disruptions caused by the rental company.
4.4 Transfers
- Accurate flight or arrival information must be provided. Failure to do so may result in loss of service without refund.
- Delays beyond the Supplier’s wait time policy may require you to arrange alternate transportation at your expense.
- Inspira acts only as a booking agent and is not responsible for delays or non-performance by transfer providers.
4.5 Attractions and Activities
- Tickets may be non-refundable and non-transferable.
- Supplier terms apply regarding rescheduling, entry requirements, and safety.
- Activities may be canceled by the Supplier due to weather, safety, or operational issues. Refunds, if applicable, will follow Supplier terms.
5. PRICING, TAXES, AND CURRENCY RULES
5.1 Displayed Prices
- Prices displayed on the Platform are based on the information provided by Suppliers and may fluctuate until booking is confirmed. Prices generally include applicable taxes unless otherwise stated, but may exclude:
- Local taxes or government-imposed fees payable at destination
- Resort fees or property-imposed charges
- Fuel surcharges or Supplier-imposed service fees
5.2 Currency and Exchange Rates
- Prices may be displayed in multiple currencies for convenience. Currency conversions are based on real-time exchange rates provided by third-party services and are for reference only. The amount charged to your payment method may differ due to:
- Exchange rate fluctuations
- Bank processing fees
- International transaction surcharges
5.3 Errors and Omissions
- Inspira reserves the right to correct any pricing errors, inaccuracies, or omissions, even after payment. If a booking is affected by an error, we will notify you and give you the option to reconfirm or cancel for a full refund.
6. PAYMENTS, CANCELLATIONS, AND REFUNDS
6.1 Payment Authorization
- Full payment is required at the time of booking unless otherwise specified. By submitting payment details, you authorize Inspira or its payment processor to charge your payment method for:
- The total booking cost
- Applicable taxes and fees
- Adjustments for modifications or cancellations
6.2 Payment Methods
- We accept major credit cards and other payment methods as indicated on the Platform.
- For security, Inspira may verify payment information before processing.
6.3 Chargebacks and Fraud
- Unauthorized chargebacks will be treated as a breach of these Terms and may result in:
- Account suspension
- Recovery of disputed amounts through legal means
- Reporting to law enforcement in cases of fraud
6.4 Cancellations and Refund Policies
- Cancellation terms vary by Supplier and product type. Some bookings are non-refundable and non-changeable. Refunds, if applicable, will:
- Be subject to Supplier approval
- Exclude service fees or administrative charges
- Take up to 30 business days to process
6.5 No-Shows and Early Check-Out
- If you fail to check in, show up, or complete your booking, you are not entitled to any refund.
6.6 Modifications
- Changes to bookings (e.g., dates, traveler names) are subject to Supplier policies and may incur fees.

7. PROHIBITED ACTIVITIES
By using the Platform, you agree NOT to engage in any of the following activities:
7.1 Misuse of the Platform
- Accessing, monitoring, or copying content using automated bots, spiders, or scraping tools without prior written permission.
- Deep-linking to any portion of the Platform for any purpose without authorization.
7.2 Fraudulent or Illegal Use
- Making fraudulent reservations or providing false payment or identity information.
- Engaging in credit card fraud, chargeback abuse, or payment disputes without valid cause.
7.3 Resale and Commercial Use
- Reselling, sublicensing, or redistributing any services, content, or booking confirmations obtained through the Platform.
7.4 Security Violations
- Attempting to bypass or interfere with security features or encryption of the Platform.
- Uploading malicious software, viruses, or harmful code.
7.5 Content Violations
- Posting unlawful, defamatory, or infringing content (including user reviews).
- Submitting content that violates intellectual property rights of others.
7.6 Harassment or Abuse
- Harassing Inspira employees, Suppliers, or other users.
7.7 Prohibited Jurisdictions
- Using the Platform in violation of export control laws or economic sanctions.
Violation of these prohibitions may result in:
- Immediate termination of your account and bookings
- Legal action, including claims for damages
- Reporting to law enforcement authorities
8. TRAVEL REQUIREMENTS, HEALTH, AND ASSUMPTION OF RISK
8.1 Documentation and Identification
- You are responsible for ensuring that all travellers have valid travel documents, including passports, visas, permits, and health certificates required for the destination.
- You are responsible to make sure that the name on the reservation matches exactly that on the travel document used by the service provider to identify the traveller.
- Failure to obtain proper documents may result in denied boarding, entry refusal, or trip cancellation without refund.
8.2 Health and Vaccinations
- Some destinations require specific vaccinations or health certificates.
- It is your responsibility to consult with appropriate health professionals before traveling.
8.3 Travel Advisories and Warnings
- Governments may issue travel advisories regarding safety, health, or security risks.
- By booking through the Platform, you acknowledge and assume all risks related to such advisories.
- Inspira is not liable for losses incurred due to travel to destinations under advisory.
8.4 Compliance with Laws
- You agree to comply with all applicable laws, including U.S. export control and sanctions regulations, and the laws of your destination country.
8.5 Assumption of Risk
- Travel to certain destinations involves greater risks (e.g., political instability, natural disasters, pandemics). You travel at your own risk.
- Inspira disclaims liability for injuries, damages, or losses resulting from such risks.
9. SUPPLIER RESPONSIBILITIES & LIMITATIONS
9.1 Supplier Control
- Inspira acts solely as an intermediary and does not own, operate, or control any of the travel products offered through the Platform. All bookings are fulfilled by independent Suppliers who are solely responsible for:
- Quality, safety, and performance of the service
- Compliance with applicable laws and regulations
- Delivery of the travel product as confirmed
9.2 Inspira Limitations
- Inspira does not guarantee:
- The accuracy or completeness of Supplier information
- Availability of services at the time of booking
- Fitness of any service for a particular purpose
- Inspira disclaims all liability for acts, errors, omissions, or negligence of any Supplier.
10. DISCLAIMERS & LIMITATIONS OF LIABILITY
10.1 General Disclaimer
- The Platform and Services are provided on an “as-is” and “as available” basis. Inspira makes no warranties, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
10.2 Product-Specific Disclaimers
Flights
- Inspira does not control flight schedules, delays, cancellations, or safety compliance.
- Liability for injuries, baggage issues, or cancellations is governed by the Montreal Convention and applicable airline policies.
Hotels and Vacation Rentals
- Inspira is not responsible for:
- Overbookings
- Service quality or amenities
- Maintenance or hygiene standards at properties
Car Rentals
- Inspira does not guarantee vehicle condition, availability, or compliance with safety standards.
- Additional charges (insurance, fuel, tolls) are the responsibility of the Customer.
Transfers
- Inspira is not liable for missed pickups due to Customer error or Supplier delays beyond our control.
Attractions and Activities
- Inspira is not responsible for cancellations by Suppliers due to weather, safety, or operational issues.
10.3 Limitation of Liability
- To the fullest extent permitted by law:
- Inspira’s total liability for any claim arising from use of the Platform or Services is limited to the greater of:
- The amount paid for the booking giving rise to the claim, or
- USD $100
- In no event shall Inspira be liable for:
- Indirect, incidental, punitive, or consequential damages
- Loss of profits, data, or goodwill
11. INDEMNIFICATION
- You agree to indemnify, defend, and hold harmless Inspira, its affiliates, officers, and employees from and against any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising out of:
- Your breach of these Terms
- Your violation of any law or third-party rights
- Your misuse of the Platform or Services
12. FORCE MAJEURE
- Inspira shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to:
- Acts of God (natural disasters, severe weather)
- Government actions, laws, or regulations
- Labor disputes, strikes, or lockouts
- War, terrorism, or civil unrest
- Public health emergencies or pandemics
- Communication or system outages
If a Force Majeure event occurs, Inspira’s obligations are suspended to the extent affected. Refund eligibility will depend on Supplier policies.
13. CONSUMER RIGHTS & COMPLIANCE
13.1 U.S. Department of Transportation (DOT) Rules
- For flights originating in or to the U.S., airlines must comply with DOT regulations on cancellations, refunds, and passenger rights. Visit www.transportation.gov/airconsumer for full details.
13.2 Montreal Convention
- For international flights, liability for delays, baggage issues, and injuries is governed by the Montreal Convention, which may limit carrier liability.
13.3 EU Regulation 261/2004
- For flights departing from the EU or operated by EU carriers, passengers may have rights to compensation for delays or cancellations under EU Regulation 261/2004.
- Inspira does not determine these rights; you must contact the airline directly for claims.
14. DISPUTE RESOLUTION & ARBITRATION AGREEMENT
14.1 Mandatory Arbitration
- Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
14.2 Location & Governing Law
- Arbitration shall take place in Maricopa County, Arizona, USA.
- The Federal Arbitration Act governs the interpretation and enforcement of this agreement.
14.3 Class Action Waiver
- You agree that disputes shall be resolved on an individual basis only. You waive the right to participate in any class or representative action.
14.4 Small Claims Exception
- You may bring an individual claim in small claims court if it qualifies.
15. GOVERNING LAW & JURISDICTION
These Terms and any disputes are governed by the laws of the State of Arizona, USA, without regard to conflict of laws principles.
Subject to the arbitration clause above, any legal action shall be filed exclusively in state or federal courts located in Maricopa County, Arizona.
16. PRIVACY & DATA SECURITY
Inspira collects, uses, and processes your personal information in accordance with our Privacy Policy (available on the Platform).
By using the Platform, you consent to:
- The collection and processing of your data
- Data transfer and storage in the United States or other jurisdictions
- Inspira employs reasonable technical and organizational measures to protect your data but cannot guarantee absolute security.
17. INTELLECTUAL PROPERTY & DMCA
All content on the Platform, including but not limited to text, images, software, logos, and trademarks, is the property of Inspira or its licensors. You may not copy, modify, distribute, or create derivative works without written consent.

17A. USER-GENERATED CONTENT & LICENSING
17A.1 License Grant
- By submitting reviews, photos, videos, or other content (“User Content”) through the Platform, you grant Inspira a worldwide, perpetual, irrevocable, royalty-free license to:
- Use, reproduce, modify, translate, and distribute such content
- Display User Content in marketing, advertising, and promotional materials
17A.2 Representations
- You own or have the necessary rights to the User Content
- The User Content is accurate, non-defamatory, and compliant with applicable laws
17A.3 Removal Rights
- Inspira reserves the right to remove or modify User Content at its sole discretion, without notice.
18. ACCESSIBILITY STATEMENT
Inspira is committed to ensuring the accessibility of its Platform for individuals with disabilities.

19. EXPORT CONTROL & SANCTIONS COMPLIANCE
- You agree not to use our Platform in violation of:
- U.S. export control laws
- U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) sanctions
- Inspira reserves the right to cancel any booking violating these restrictions.
20. MODIFICATIONS TO TERMS
- Inspira reserves the right to amend these Terms at any time.
- Updates will be posted on the Platform with the revised effective date.
- Continued use of the Platform constitutes acceptance of updated Terms.
21. AFFILIATE LINKS & THIRD-PARTY DISCLAIMER
21.1 Affiliate Relationships
- Inspira may maintain affiliate relationships with certain travel service providers, merchants, or other partners. Inspira may receive commissions, referral fees, or other compensation when you make a purchase or booking through links on the Platform. These relationships do not affect the price you pay for the services.
21.2 Third-Party Websites
- The Platform may contain links to third-party websites, services, or resources (“Third-Party Services”). These links are provided for your convenience only. Inspira does not:
- Endorse, control, or assume responsibility for any Third-Party Services
- Guarantee the accuracy, availability, legality, or safety of any Third-Party Services
- Warrant the content, privacy practices, or security measures of Third-Party Services
21.3 Responsibility
- You acknowledge and agree that:
- Any access or use of Third-Party Services is at your own risk
- Inspira is not a party to any agreements or transactions between you and any third party
- Inspira shall not be liable for any damages or losses arising from your use of Third-Party Services
